Item 8.01 Other Events.

On December 31, 2020, Bionano Genomics, Inc. (the “Company”) obtained a waiver from Innovatus Life Sciences Lending Fund I, LP (“Innovatus”) of its previously disclosed noncompliance, as of September 30, 2020, with a revenue covenant contained in the Loan and Security Agreement, dated March 14, 2019, among the Company, Innovatus and East West Bank, as amended.
